1. SPONSOR & ADMINISTRATOR: The New In Town Sweepstakes (the "Sweepstakes") is sponsored by AOL LLC, 770 Broadway, New York, NY 10003 ("Sponsor"). The Sweepstakes Administrator is Visual Perspectives Internet, Inc. ("VPI.Net"), 220 Technology Drive West, Suite 100, Irvine, California 92618 ("Administrator").
2. ELIGIBILITY: The Sweepstakes is open only to current legal residents of the 50 United States and the District of Columbia who are eighteen (18) years of age or older as of January 5, 2009. Employees, officers, and directors of Sponsor and its licensors, the Administrator, and each of the foregoing entities' affiliates, prize suppliers, advertising and promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, any agents acting for, or on behalf of the above entities, and any other person or entity associated with this Sweepstakes (collectively, "Sweepstakes Entities"), members of their immediate families, including spouses, children, siblings and parents, and/or persons living in the same household as such persons, whether or not related, are not eligible to enter this Sweepstakes.
3. HOW TO ENTER: The Sweepstakes begins at 10:00:00 a.m. Pacific Time on January 5, 2009 and ends at 9:59:59 a.m. Pacific Time on February 1, 2009 (the "Sweepstakes Period"). Prospective entrants ("Entrants") must access the Sweepstakes Website located at http://newintownsweepstakes.com (the "Sweepstakes Website") during each of the entry periods (the "Entry Periods"), as listed below. One prize will be awarded at the conclusion of each Entry Period.
   
   To participate in the Sweepstakes, Entrants must visit the Sweepstakes Web Site during the appropriate Entry Period and complete the Sweepstakes registration form (the "Sweepstakes Entry") for the prize drawing for which he/she is entering. He/she must follow the online instructions to complete and thereafter submit the Sweepstakes Entry. The required information includes e-mail address, first name, last name, date of birth, street address, city, state, zip code, telephone number and gender (collectively, the "Entry Information"). Each Sweepstakes Entry must be completed in full. Proof of submitting a Sweepstakes Entry will not be deemed by Sponsor as proof of receipt or entry into the Sweepstakes. Any attempted form of entry into the Sweepstakes other than the methods described herein is void.
   
   
   Entry Period #1: Begins at 10:00:00 a.m. PDT on January 5, 2009, and ends at 9:59:59 a.m. PDT on January 12, 2009. Limit one (1) entry per person/email address per day during Entry Period.
   
   Entry Period #2: Begins at 10:00:00 a.m. PDT on January 12, 2009, and ends at 9:59:59 a.m. PDT on January 22, 2009. Limit one (1) entry per person/email address per day during Entry Period.
   
   Entry Period #3: Begins at 10:00:00 a.m. PDT on January 22, 2009, and ends at 9:59:59 a.m. PDT on February 1, 2009. Limit one (1) entry per person/email address per day during Entry Period.
   Each Entry Period is separate and entries will NOT be automatically rolled into the subsequent Entry Period drawings. Each Entry Period is considered separate.
   
   The Sweepstakes Web Site's computer is the official clock for all purposes of the Sweepstakes. For purposes of the Sweepstakes, a "day" is defined as a twenty-four (24) hour period, beginning at 12:00:00 a.m. Pacific Time and ending at 11:59:59 p.m. Pacific Time, except for the first day of the Sweepstakes Period which begins at 10:00:00 a.m. Pacific Time that day and ends at 11:59:59 p.m. Pacific Time that day and the last day of the Sweepstakes which begins at 12:00:00 a.m. Pacific Time that day and ends at 9:59:59 a.m. Pacific Time that day . All Sweepstakes Entries must be received by 9:59:59 a.m. Pacific Time on February 1, 2009.
   
   Sweepstakes Entries from the same person and/or email address in excess of the number stated herein will be disqualified. Any attempt by an Entrant to use multiple email accounts may result in disqualification at the discretion of the Sponsor. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents will void all Sweepstakes Entries by that Entrant. Sweepstakes Entries that are incomplete, garbled or corrupted are void and will not be accepted. Any attempted form of participation in the Sweepstakes other than as described herein is void.
4. AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes full and unconditional agreement to and acceptance of these Official Rules by the Entrant.
5. SELECTION AND NOTIFICATION OF WINNER: Winners will be selected in a random drawing from all eligible entries received during each Entry Period per the following schedule: Entry Period #1: on or about January 13, 2009. Entry Period #2: on or about January 23, 2009. Entry Period #3: on or about February 2, 2009. The drawings will be conducted by Administrator, an independent judging organization, whose decisions will be final and binding in all respects. Odds of winning depending on the total number of eligible entries received for each Entry Period. Limit one (1) prize per person/household during the Sweepstakes Period.
   
   Each potential winner (or, if a minor, his/her parent or legal guardian) will be notified by email and/or telephone within approximately two (2) weeks of the Drawing Date. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize is returned as undeliverable, such potential prize winner will be disqualified, and an alternate potential prize winner may be selected (at Sponsor's sole discretion) from all eligible Sweepstakes Entries received. If a prize winner is considered a minor in his/her state of residence, the prize will be awarded in the name of winner's parent/legal guardian.
   
   A potential winner must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. A potential winner is not an official and confirmed winner until he/she has completed, signed and returned all required documentation, including, but not limited to, an Affidavit of Eligibility, Publicity Release (except where prohibited by law) and Liability Waiver, and the eligibility of the potential winner has been verified. Each potential winner must complete and return all necessary forms within ten (10) days after notification of winning. If a potential winner does not complete all forms necessary within the time given, he/she will forfeit the prize and an alternate winner may be chosen at Sponsor's discretion. Sweepstakes Entities are not responsible for documents not received within ten (10) days. All decisions of Sponsor and/or its designees shall be binding and final.
6. PRIZES: Entry Period #1: One (1) pair of Manolo Blahnik metallic leather sandals with rhinestone embellishments. Approximate retail Value ("ARV") $1,200. Entry Period #2 One (1) medium-size Fendi buckled patent calfskin shoulder bag. ARV: $1,800. Entry Period #3 One (1) pair of Christian Dior rhinestone shield sunglasses. ARV: $500. The total ARV of all prizes is: $3,500.
   
   All details and other restrictions of prizes not specified in these Official Rules will be determined by Sponsor in its sole discretion. Prizes are non-transferable, non-refundable and must be accepted as awarded. No cash or other substitutions may be made, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize (or portion thereof) of comparable or greater value whether due to the unavailability of a prize or prize component, or for any other reason. Each winner is solely responsible for any and all applicable federal, state, local and/or any other applicable taxes and/or other costs and expenses associated with accepting, redeeming and/or using a prize which are not specifically mentioned herein. The Grand Prize winner will receive a 1099 tax form for the total ARV, as stated herein, of his/her prize. Without limitation, except where legally prohibited, acceptance of a prize constitutes a winner's (or his/her parent's or legal guardian's, if such winner is a minor) consent for each of the Sweepstakes Entities to use the winner's name, address (city & state), image, photograph, likeness and/or statements for purposes of advertising, promotion and publicity relating to the Sweepstakes only, without additional compensation.
7. RELEASE. By participating in the Sweepstakes, all Entrants, including, without limitation, the potential winners, agree to forever and irrevocably release, indemnify and hold harmless the Sweepstakes Entities and their respective officers, directors, employees, representatives, successors and assigns, from any and all liability, damages, property damage, injuries, death, claims, causes of action, or losses of any kind arising from, in connection with or resulting from the Sweepstakes and any element thereof, participation, entry or inability to participate in the Sweepstakes, acceptance, possession, use or misuse of any prize or any part thereof, the collection of personally identifiable information of the Entrant by the Sponsor or Administrator, and/or the violation of any privacy, personal, publicity or proprietary right, including without limitation defamation and infringement of intellectual property rights.
8. GENERAL CONDITIONS: Sponsor reserves the right to terminate, cancel, suspend and/or modify the Sweepstakes if intervening circumstances warrant, within Sponsor's sole discretion, due to any fraud, virus or other technical problem which corrupts the administration, security, or proper play of the Sweepstakes. In such event, Sponsor reserves the right to award a prize from among the eligible Sweepstakes Entries received up to the time of the termination, cancellation, suspension and/or modification. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In case of dispute as to the owner of an online entry, online entry will be deemed to have been submitted by the authorized account holder of the e-mail address from which the entry is made. The "authorized account holder" is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be requested to provide the Sponsor or its designees with proof that the potential winner is the authorized account holder of the email address associated with the winning entry. If a dispute cannot be resolved, the Sweepstakes Entry will be deemed ineligible, and an alternate potential winner may be selected in Sponsor's sole discretion. Sweepstakes Entities make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize. Without limiting the generality of the foregoing, such prize is provided "as is" without warranty of any kind, either express or implied, and Sweepstakes Entities hereby disclaim all such warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purposes and/or non-infringement.
9. LIMITATIONS OF LIABILITY: Sweepstakes Entities are not responsible or liable for Sweepstakes Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated entry limit, or for Sweepstakes Entries that are illegible, late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, altered or otherwise not in compliance with these Official Rules, whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes, or by any technical or human error which may occur in the processing of Sweepstakes Entries in the Sweepstakes, or for failure to receive Sweepstakes Entries due to transmission failures or technical failures of any kind and such Sweepstakes Entries will be disqualified. By entering the Sweepstakes, each Entrant (or his/her parent/legal guardian if the Entrant is a minor) agrees and acknowledges to be bound by the Official Rules, as well as the decisions of the Sponsor which are final and binding in all respects; to waive any rights to claim ambiguity with the Sweepstakes or these Official Rules and that the Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in the Sweepstakes (including, changes in an Entrant's Sweepstakes Entry Information which affects the ability to contact such Entrant); typographical errors in Sweepstakes promotional material; acceptance/possession, defects in, use, misuse or inability to use a prize; cancellations and/or delays or any change by any company or any other persons providing any of components of the prize due to reasons beyond the control of any of the Sweepstakes Entities; any interruptions/postponement/cancellation of Sweepstakes; human error; incorrect or inaccurate transcription of Sweepstakes Entry Information; any technical malfunctions of the computer on-line system, computer dating mechanism, computer equipment, software, or internet service provider utilized by any of the Sweepstakes Entities or by Entrant; interruption or inability to access the Sweepstakes, any Sweepstakes-related Web pages, or any on-line service via the Internet due to hardware or software compatibility problems; any damage to Entrant's (or any third person's) computer and/or its contents related to or resulting from any part of the Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects; and/or any other errors or malfunctions, even if caused by the negligence of any one or more of the Sweepstakes Entities. Each Entrant (and his/her parent/legal guardian if the Entrant is a minor) further agrees to indemnify and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against any of the Sweepstakes Entities. Each prize winner (and his/her parents/legal guardian if the prize winner is a minor) releases each of the Sweepstakes Entities and each of their respective officers, directors, employees, representatives, successors and assigns from any and all liability/responsibility with respect to the prize (and any element thereof) and/or the Sweepstakes (including any property loss, damage, personal injury, or death) and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any of the prizes (or any components thereof). Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of the Sweepstakes Entities, or any of their agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of any of the Sweepstakes Entities, or (3) by any other cause, condition or event whatsoever beyond the control of any of the Sweepstakes Entities.
10. PRIVACY: Except as otherwise set forth herein, all information collected from Entrant is subject to Sponsor's Privacy Policy found at http://about.aol.com/aolnetwork/aol_pp/ and shall be used only for the purpose of the prize awarding and to notify potential winners, and will not be re-used, sold or shared in any manner by Sponsor or any third parties unless Entrant has expressly opted-in to receiving additional information or promotional emails from Sponsor or any of the other Sweepstakes Entities.
11. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Virginia, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia.
12. SWEEPSTAKES RESULTS AND OFFICIAL RULES: For a copy of the Official Rules or Winners' List, send the request and a self addressed stamped envelope postmarked prior to November 16, 2008 to "New In Town" Sweepstakes (please specify Winners' List or Official Rules] C/O VPI.Net, 220 Technology Drive West, Irvine, CA 92618. The Official Rules will also be available on the Sweepstakes Web Site during the Sweepstakes Period.
